Niroxx Engineering Ltd. (Cyprus)
1. General Terms
1.1
These Terms & Conditions govern all contracts between Niroxx Engineering Ltd. (hereafter “Niroxx”) — a private limited company registered in Cyprus — and its customers for the sale of products, including photovoltaic (PV) components, and the installation of photovoltaic systems.

1.3
These Terms apply unless the parties expressly agree otherwise in writing. Deviating customer terms are non-binding unless confirmed by Niroxx in text form.
2. Offer and Contract Conclusion
2.1
All offers from Niroxx are subject to change unless explicitly stated otherwise. A binding contract is established upon written confirmation from Niroxx or upon delivery and/or installation.
2.2
Pre-contractual information, including product characteristics, total price inclusive of VAT and all applicable taxes, delivery/installation costs, payment terms, and the duration and termination rights of the contract, will be provided in a clear and comprehensible manner in accordance with the EU Consumer Rights Directive and the E-Commerce Directive.
3. Prices and Payment
3.1
Prices stated in offers or on the website are exclusive of VAT unless explicitly indicated otherwise. Before contract conclusion, the total price inclusive of VAT and all additional costs will be provided. Prices exclude possible customs, duties, or associated costs, if applicable.
3.2
Payment terms (method, schedule, and conditions for installments) will be specified in the offer. A deposit of up to 70% of the total contract value may be required. This deposit will be refunded if the customer withdraws within the statutory withdrawal period and no installation work has commenced.
3.3
Full payment is due by the date specified in the offer or contract. Late payments may incur statutory interest and/or suspension of further work.
4. Delivery and Installation
4.1
Delivery and installation timelines will be explicitly agreed upon in writing.
4.2
Delays due to force majeure (e.g., supply chain disruptions, regulatory delays, natural events) extend delivery/install timelines accordingly. Niroxx will notify the customer promptly. If a delay exceeds 60 days, both parties may request contract termination.
4.3
The customer shall ensure site readiness for installation, including access, permits, and safety. Niroxx may postpone or cancel installation if prerequisites are unmet and may charge for additional costs incurred, such as re-attendance charges, storage fees, or other documented expenses.
5. Right of Withdrawal / Cancellation (for Consumers)
5.1
Consumers have the right to withdraw from this contract within 14 calendar days without giving any reason. The withdrawal period will expire:
- for goods-only purchases: 14 days after the day on which the consumer acquires physical possession of the goods;
- for combined supply and installation: 14 days after the day of contract conclusion.
5.2
If the consumer requests that installation begins during the withdrawal period, this request must be made in a durable medium, and the consumer will be required to pay for the proportion of work already performed up to the time of withdrawal.
5.3
If the consumer withdraws after goods have been installed, they may also be liable for reasonable costs of removal and site restoration, provided such costs were clearly communicated before contract conclusion.
5.4
To exercise this right, the customer must inform Niroxx clearly (e.g., via email or other durable medium).
6. Product Standards and Safety
6.1
Niroxx ensures that all products comply with relevant EU standards (such as CE marking, WEEE, RoHS, Low Voltage Directive, EMC), as well as relevant Cypriot statutory and regulatory requirements.
6.2
Installations are carried out following local building and electrical regulations, national grid connection standards, and good engineering practice.
7. Warranty and Liability
7.1
Niroxx provides statutory warranty for products sold and services rendered. Minor deviations acceptable in normal usage are excluded.
7.2
Warranty claims must be submitted in writing within a reasonable timeframe after noticing defects. Niroxx will, at its discretion, repair, replace defective parts, or refund.
7.3
Liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and for breach of statutory rights cannot be excluded or limited. Nothing in these Terms affects mandatory consumer rights under applicable law.
7.4
Liability for indirect or consequential damages (e.g., loss of earnings, business interruption) is excluded to the extent permitted by law.
8. Data Protection & Privacy
8.1
Niroxx processes personal data as data controller in accordance with the EU General Data Protection Regulation (GDPR). We process customer data for the purposes of fulfilling the contract, complying with legal obligations, and providing customer service. 9. Applicable Law and Jurisdiction
9.1
Contracts are governed by Cypriot law, consistent with applicable EU regulations.
9.2
For consumers resident in the EU, disputes may be brought before the competent courts of the consumer’s habitual residence, in addition to any other court having jurisdiction under applicable law. For all other cases, the courts of Paphos, Cyprus, shall have exclusive jurisdiction unless another regulation requires otherwise.
10. Final Provisions
10.1
If any provision of these Terms is found invalid under applicable law, the remainder shall remain effective.
10.2
Amendments or additions to the contract are binding only if in writing or in text form (including email) and sent by an authorized representative of Niroxx.
10.3
These Terms supersede all previous versions and agreements.
